Japanese automotive lighting and electronics group Stanley Electric has agreed to acquire Tokyo-based Iwasaki Electric in a deal valued at Y70.29bn ($456m).

The board-approved transaction involves Stanley purchasing 278,331 shares, giving it full voting control of the company.

Following regulatory clearance, the deal will make Iwasaki Electric a consolidated subsidiary, with this status expected to apply from the fiscal year ending March 2027.

The shares will be acquired mainly from Lux Holdings, along with five Iwasaki Electric directors and employees and the company’s employee stock ownership programme.

The purchase price includes advisory costs and may be revised in line with the terms of the share purchase agreement.

Completion is targeted for 1 April 2026, subject to antitrust and other regulatory approvals in Japan and Vietnam.

Stanley said the decision was guided by its corporate philosophy of “the boundless pursuit of the Value of Light”.

The company added that it chose to acquire Iwasaki Electric to expand its lighting business across automotive applications, municipal infrastructure, industrial facilities, and commercial buildings.

Founded in 1944 and headquartered in Tokyo’s Chuo ward, Iwasaki Electric designs and produces light sources, lighting systems and applied optics and environmental equipment.

Its portfolio includes ultraviolet, infrared and electron-beam technologies.

For the financial year ended 31 March 2025, the company posted consolidated net sales of Y60.09bn and operating profit of Y6.09bn.

With this acquisition, Stanley aims to support further growth across Japan, ASEAN and India.

The company added that it is still evaluating the impact on its consolidated financial results and will issue an announcement if disclosure becomes necessary.

In its statement, Stanley Electric said: “Iwasaki Electric, with its dual pillars of the Lighting Solutions Business and the Applied Optics and Environment Business, has established strong business relationships with government agencies and public sector entities based on its long-standing track record, mainly in outdoor and public lighting, and its extensive sales and service network.”
