EMCON Technologies, originally called Arvin Industries, posted 2008 sales of EUR2.4bn (US$3.5bn)  and employs 6,000 people in 19 countries.

The all-share deal will dilute PSA’s holding in Faurecia from 70.8% to 57.4% and make Faurecia a world leader in emissions technology.

“This deal is in line with our company strategy introduced in February 2009. It reinforces our leading position on the market for emissions control technologies, which will boast strong growth over the coming years,” Faurecia chairman and chief executive Yann Delabriere said.

Faurecia said it would fund the EMCON deal by issuing 20.9m new Faurecia shares. The acquisition is expected to be closed early next year.
